Terms & Conditions
Welcome to Coach@ (the “Site”). The contents and services of the Site are provided by Coach@ of Santa Barbara, California, U.S.A.
These terms and conditions shall be a legally binding electronic contract between you, which includes the company you represent and the company that registered you (collectively “you”), and www.coachat.education, which includes its owner and assignees (“our”, “we”, “us”, “site” or “Coachat”) and shall govern your use of Coachat LLC software, website, mobile applications or connected applications such as apple tv, services or other offerings on our website, relating to language coaching of Spanish, French and Italian (collectively, our “services”). This agreement shall be deemed to be in compliance with all the laws dealing with online and electronic contracts. this agreement does not require physical signature of the parties and shall be a legally binding and enforceable contract between the parties by using any of the Coachat services, you agree to become bound by the terms. If you do not agree to all these terms, do not use the Coachat services.
PLEASE CAREFULLY READ THESE LEGAL TERMS AND CONDITIONS, WHICH CONSTITUTE AN AGREEMENT BETWEEN YOU AND LINGUAMEETING.
I. SERVICES
A. Description of Services.
Coach@ provides second language conversation services in Spanish, French and Italian. The Services will be provided to the students through real-time, synchronous communications between our facilitators and the student in sessions with a minimum of 1 student and a maximum of 5 students per session. Service is implemented through Coach@’s scheduling engines and through third-party software such as Zoom®. Students will be responsible for providing the appropriate hardware to access the Coach@ sessions online.
B. SCHEDULING TIME.
The schedule of sessions is pre-determined by the instructor and/or by the program coordinator of the crediting institution. Sessions are scheduled from 8:00 A.M. and 16:00 P.M. Pacific Standard Time, contingent upon preferences and availability. Weekend availability will vary. Students who are unable to schedule within the times given, must contact Coach@’s Customer Support (advocateteam@coachat.education) for assistance during the first week of the term. Failure to seek help during the first week of classes, may result in the impossibility to schedule during all or parts of the term.
C. RESCHEDULING OF SESSIONS AND MAKE-UPS.
Sessions can be rescheduled once if the change is made at least 24 hours prior to the upcoming session and must be completed during the same week as the original session.
Missed sessions are those in which a student is considered a no-show. Only one make up session will be allowed each term. Absence from a make-up session cancels any option to reschedule or any further make-up.
II. HOLIDAYS AND BREAKS
Coach@ observes national holidays from both of the student’s credit institution as well as those from the Coach@’s facilitators countries. In instances, services may be offered during holidays if preferred by the program. Observed holidays will be blacked out from the schedule at the beginning of the term.
III. RECORDINGS
Sessions will be recorded and accessible to instructors for their reference and review. Instructors have the option to make recordings accessible to students. Recordings are stored and used in accordance to Coachat privacy policy.
administrative staff may use the copies (in form as provided or otherwise made available to them) of recorded interactive sessions in which their students were participants, in whole or in part, for any legal, noncommercial purpose, so long as they first obtain written consent from each student participant.
IV. TECHNICAL CHALLENGES AND FAILURES
Unexpected technical failures may occur immediately prior or during our session(s). Coach@ will do anything possible to avoid or limit such instances. Should they occur, our facilitator or support personnel may, at their discretion, provide a substitute during the session or offer students an opportunity to re-schedule sessions.
If a facilitator is unable to enter a session, students must wait 10 minutes to consider the session canceled. If students experiment technical issues, they may use their make-up options to reschedule.
V. CODES/ACCESS
Coach@ sessions are not refundable and must completed during the original semester or term for which they were paid for.
VI. OBLIGATIONS OF PARTICIPANTS
As a participant, you represent, warrant and covenant that:
A. You have read, understood, and agree to be bound by these terms and conditions prior to using our services.
B. You will not use any inappropriate, offensive, racist, hateful, sexist, pornographic, infringing, defamatory or libelous language.
C. You will not copy, modify, reverse engineer, reproduce, distribute, publicly display, publicly perform, communicate to the public, create derivative works from, deface, tarnish, mutilate, hack, interfere with, or otherwise use and exploit any content or services.
D. You will not impersonate another person or gain unauthorized access to another person’s account.
VII. REFUND POLICY
Refunds are not grante when Coach@ sessions have been purchased as a package with other products. When purchased separately, refunds are available when

Coach@’s services may include access through links to third party platforms, either directly. Coach@ does not endorse any of these third party pPlatforms and does not control them in any manner. Accordingly, Coach@ does not assume any liability associated with these platforms. You need to take appropriate steps to determine whether accessing a third party platform is appropriate, and to protect your personal information and privacy on such third party platform.
IX. INDEMNIFICATION:
You hereby indemnify, defend and hold Coach@ and its affiliates, officers, directors, agents, partners, employees, licensors, representatives and third party providers harmless from and against all reasonably foreseeable losses, expenses, damages, costs, claims and demands, including reasonable attorneys’ fees and related costs and expenses, due to or arising out of Your breach of any representation or warranty hereunder.
X. AMENDMENTS & MODIFICATIONS:
Coach@ reserves the right to modify this agreement at any time.
